These Terms and Conditions ("Terms") govern the use of the website gridwork.ch and the digital platform services provided by Gridwork AG ("Gridwork", "we", "us"). By accessing our website or using our services, you agree to these Terms.
1. Scope
These Terms apply to:
- Visitors of gridwork.ch (e.g., demo requests, newsletters).
- Partner agencies, banks, or institutions using our platform ("Clients").
- Technical use of the Gridwork platform as a SaaS environment.
Contracts with banks, agencies, and other professional Clients are additionally governed by separate agreements. In case of conflict, those agreements prevail.
2. Definitions
- Platform: The Gridwork SaaS infrastructure, CRM, and related modules made available to Clients.
- Client(s): Agencies, banks, or institutions that license Gridwork services.
- End-Users: Property sellers or buyers who use the platform via a Client.
- Content: Any data, information, or material uploaded or processed on the platform.
3. Service Description
Gridwork provides technical infrastructure for secure data exchange between real estate agencies, financial institutions, and property owners.
Gridwork does not provide real estate, legal, or financial advice. All such services are delivered by Clients.
For End-Users, Gridwork acts only as a data processor on behalf of the respective Client. The Client remains the data controller.
4. Website Use
Visitors of gridwork.ch may access information, request demos, or subscribe to newsletters.
You agree not to misuse the website or attempt unauthorised access.
Our website may use cookies and similar technologies for functionality and analytics. Detailed information is available in our Privacy Policy.
5. Platform Access (for Clients)
Clients may access the Gridwork platform under the terms of their contractual agreement with Gridwork. Clients are responsible for:
- Maintaining the confidentiality of their login credentials.
- Ensuring that their End-Users comply with applicable laws.
- Providing accurate and lawful data.
6. Intellectual Property
All rights to the platform, website, and related software remain with Gridwork.
Clients receive only a limited, non-exclusive right to use the platform for agreed purposes.
7. Liability and Availability
7.1 Service Level
The platform and website are provided "as is." Gridwork strives for high availability but does not guarantee uninterrupted access.
7.2 Liability Limitations
To the extent permitted by law, Gridwork is not liable for:
- Temporary outages or disruptions.
- Indirect or consequential damages.
- Data loss, unless caused by gross negligence or wilful misconduct.
7.3 Fair Terms
These Terms are intended to be fair and balanced. If any provision is found to be unfair or contrary to good faith, it shall be adapted or, if necessary, severed, without affecting the validity of the remaining Terms.
7.4 Liability Caps
Gridwork's total liability for any damages shall not exceed the fees paid by the relevant Client in the 12 months preceding the claim, except for damages caused by willful misconduct or gross negligence. For website visitors who are not paying Clients, liability is excluded to the maximum extent permitted by law.
7.5 Force Majeure
Neither party shall be liable for delays or non-performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures beyond our infrastructure. Data protection and security obligations remain in effect to the extent reasonably possible.
8. Data Protection
Personal data is processed in accordance with our Privacy Policy and applicable law (Swiss FADP, GDPR).
For End-Users, Gridwork acts strictly as a processor; Clients remain controllers. Gridwork does not provide services directly to End-Users. Any questions from End-Users must be directed to their Client (agency, bank, or institution).
Data Incidents: In case of data security incidents, Gridwork will notify relevant authorities and affected parties as required by applicable law, primarily through the responsible Client as data controller.
9. Termination and Suspension
Gridwork may suspend or terminate access in cases of misuse, in response to legal requirements, or due to security concerns.
Contracts with Clients are governed by their separate agreements.
10. Modifications
We may update these Terms when necessary (e.g., legal, technical, or business changes). Updated Terms will be published on our website. Continued use after changes constitutes acceptance.
11. Governing Law and Jurisdiction
These Terms are governed by Swiss law. The exclusive place of jurisdiction is Zürich.
